Cascade Natural Gas Corporation Shareholder Information 

The merger between Cascade Natural Gas Corporation and MDU Resources Group, Inc. was completed on July 2, 2007.  MDU Resources acquired Cascade for cash consideration of $26.50 per share.  Set forth below in summary format is information for Cascade shareholders.

Converting Cascade Natural Gas Corporation shares to cash:

Shareholders holding actual stock certificates
Bank of New York, the exchange agent for the transaction, will mail out a notice letter together with a letter of transmittal (including instructions regarding lost stock certificates) to all certificated shareholders. The letter of transmittal will contain instructions explaining the procedure for converting Cascade stock certificates to the per share merger payment.  Upon receipt of a properly executed letter of transmittal and delivery of the stock certificates as required by the letter of transmittal, Bank of New York will then issue a check to the shareholder.  You may contact Bank of New York at 800-507-9357.

Shares held with a financial institution
If you hold shares with a financial institution, for information on disbursement of proceeds and fees involved, you should contact your administrator directly.  Cash was transferred through the Depository Trust Company to the financial institutions for the per share merger payment following the effective date of the merger.

Shares held in book-entry form
If you are currently enrolled in the Cascade Automatic Dividend Reinvestment Program or hold book-entry shares, a check representing your per share merger payment will be mailed to your address of record shortly after the merger effective date.

Lost Certificates
If a shareholder of record who holds certificated shares does not have his or her stock certificate(s), the shareholder will have to follow the instructions set forth in the notice letter and letter of transmittal sent by Bank of New York, the exchange agent for the transaction.  If you do not receive a notice letter with a letter of transmittal from Bank of New York, you may contact Bank of New York at 800-507-9357.
